Terms of Service

Effective date: April 30, 2026

These Terms of Service govern your use of BidCycle, operated by Velocity Mission Services, LLC dba BidCycle ("BidCycle," "we," "us," or "our"). By creating an account or using the platform, you agree to these terms. If you do not agree, do not use BidCycle.

1. About BidCycle

BidCycle is a web-based quoting, invoicing, and business management platform designed for contractors and trade professionals. It is operated by Velocity Mission Services, LLC dba BidCycle, a Texas limited liability company.

2. Eligibility

You must be at least 18 years of age and legally authorized to enter into binding agreements to use BidCycle. By creating an account, you represent that you meet these requirements and that all information you provide is accurate and complete.

BidCycle is a business tool intended for contractors, trade professionals, and business owners. Use for personal, non-commercial purposes is not the intended use case.

3. Your Account

You are responsible for maintaining the security of your account credentials. Do not share your password. You are responsible for all activity that occurs under your account.

Notify us immediately at contracts@v-mission.com if you suspect unauthorized access to your account. BidCycle is not liable for losses resulting from unauthorized use of your account where you failed to take reasonable precautions.

4. Subscription Plans and Billing

Free tier: New accounts may create up to 3 quotes at no charge. No credit card is required to access the free tier. Free accounts do not have access to QuickBooks integration.

Basic plan: $25.00 per month. Includes unlimited quotes, unlimited invoices, PDF export, the client approval flow, and QuickBooks Online integration. Billed monthly through Stripe. The Basic plan is available to subscribers in good standing.

Billing: Subscriptions are billed on a recurring monthly basis beginning on the date you subscribe. Payments are processed by Stripe. By subscribing, you authorize BidCycle to charge your payment method on file each billing cycle.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting us at contracts@v-mission.com. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial months.

Price changes: We reserve the right to change subscription pricing. We will provide at least 30 days notice before any price change takes effect. Continued use of the platform after a price change constitutes acceptance of the new pricing.

5. Your Data

You retain full ownership of all data you create in BidCycle — your quotes, invoices, line items, client information, and any other business data you enter. BidCycle does not claim ownership of your data.

By using BidCycle, you grant us a limited license to store, process, and transmit your data solely for the purpose of providing the platform services to you. We do not use your business data for advertising, marketing, or any purpose beyond operating the service.

You are responsible for the accuracy of the data you enter. BidCycle is a tool — we do not verify quotes, invoices, pricing, or client information you create.

6. QuickBooks Integration

Basic subscribers may connect their QuickBooks Online account to BidCycle. This integration is optional and requires your explicit authorization through Intuit's OAuth authentication flow.

By connecting QuickBooks, you authorize BidCycle to create and update invoices in your QuickBooks account on your behalf. BidCycle accesses only the QuickBooks data necessary to perform invoice sync operations you initiate.

You may disconnect your QuickBooks account at any time. BidCycle is not affiliated with or endorsed by Intuit Inc. QuickBooks is a trademark of Intuit Inc.

BidCycle is not responsible for any errors, discrepancies, or issues arising from data synced to or from QuickBooks. You are responsible for verifying the accuracy of all financial records in both systems.

7. Acceptable Use

You agree not to use BidCycle to:

  • Violate any applicable law or regulation
  • Create fraudulent quotes or invoices
  • Impersonate another person or business
  • Attempt to gain unauthorized access to any part of the platform or any other user's account
  • Reverse engineer, decompile, or attempt to extract the source code of the platform
  • Transmit viruses, malware, or other harmful code
  • Scrape, crawl, or use automated tools to access the platform without our written permission
  • Use the platform in any way that could damage, disable, or impair the service

We reserve the right to suspend or terminate accounts that violate these terms at our sole discretion.

8. Intellectual Property

BidCycle, including its software, design, branding, and all platform content created by us, is owned by Velocity Mission Services, LLC dba BidCycle and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the platform for its intended purpose while your account is active.

You may not copy, reproduce, modify, distribute, or create derivative works of the BidCycle platform or its underlying code without our prior written consent.

9. Disclaimer of Warranties

BidCycle is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of bugs or security vulnerabilities.

We do not warrant that quotes, invoices, or calculations produced by the platform are legally compliant in your jurisdiction. You are responsible for ensuring your business documents comply with applicable laws and regulations.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Velocity Mission Services, LLC dba BidCycle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or loss of business data, arising from your use of or inability to use the platform.

Our total cumulative liability to you for any claims arising from your use of BidCycle shall not exceed the greater of (a) the total subscription fees you paid to BidCycle in the 12 months preceding the claim, or (b) $100.00.

11. Indemnification

You agree to indemnify, defend, and hold harmless Velocity Mission Services, LLC dba BidCycle, its members, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these Terms, or any dispute between you and a client arising from a quote or invoice you created using BidCycle.

12. Termination

You may close your account at any time by contacting us at contracts@v-mission.com. We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice.

Upon termination, your right to access BidCycle ceases immediately. We will retain your data for up to 90 days following account closure, after which it will be deleted, except where retention is required by law.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of BidCycle shall be resolved exclusively in the state or federal courts located in Dallas County, Texas. You consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you by email. Continued use of BidCycle after updated Terms are posted constitutes your acceptance of the revised Terms.

15. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Velocity Mission Services, LLC dba BidCycle regarding your use of the platform and supersede any prior agreements or understandings.

17. Marketplace Services

BidCycle operates a homeowner request platform (the "Marketplace") that connects homeowners seeking home repair services with independent contractors. The following terms apply to all users of the Marketplace, including homeowners who submit job requests and contractors who receive and fulfill those requests.

Connection platform only. BidCycle is a technology platform that facilitates connections between homeowners and independent contractors. BidCycle does not perform home repair services, employ contractors, supervise or control contractor work, set contractor work locations or hours, or provide tools or supplies to contractors. BidCycle has no control over the quality, safety, timeliness, legality, or any other aspect of services performed by contractors.

Independent contractors. All contractors on the BidCycle platform are independent business owners and not employees, agents, partners, or franchisees of BidCycle. Any agreement for services is formed directly between the homeowner and the contractor. BidCycle is not a party to any service agreement between a homeowner and a contractor.

Contractor vetting. BidCycle requires that contractors participating in the Marketplace hold a valid state trade license and maintain general liability insurance at the time of onboarding. BidCycle verifies these credentials upon onboarding but does not continuously monitor, audit, or guarantee ongoing compliance with these requirements. The presence of a contractor on the Marketplace does not constitute an endorsement of their work quality, reliability, or fitness for any particular job.

Commission and fees. Contractors who receive jobs through the Marketplace pay BidCycle a platform commission on completed work processed through the BidCycle platform. This fee is charged to the contractor only and is not an additional charge to homeowners. Homeowner use of the Marketplace request form is free of charge.

No guarantee of service. BidCycle does not guarantee that a contractor will be available to fulfill any homeowner request, that a contractor will respond within any particular timeframe, or that any job will be completed to the homeowner's satisfaction. Response time estimates provided on the platform are targets only and are not binding commitments.

Homeowner data. When a homeowner submits a job request through the Marketplace, their name and phone number will be shared with the contractor assigned to fulfill that request. By submitting a request, homeowners consent to this sharing of contact information for the sole purpose of fulfilling their job request. BidCycle does not sell homeowner contact information to third parties.

Limitation of liability. To the maximum extent permitted by applicable law, BidCycle shall not be liable for any damages, injuries, losses, or claims arising from services performed or not performed by any contractor connected through the Marketplace, including but not limited to property damage, personal injury, or failure to complete work. Homeowners use the Marketplace and engage contractors at their own risk.

Homeowner indemnification. By submitting a job request through the Marketplace, homeowners agree to indemnify, defend, and hold harmless Velocity Mission Services, LLC dba BidCycle and its members, officers, and employees from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from their use of the Marketplace, any services performed by a contractor connected through the Marketplace, or any dispute between the homeowner and a contractor.

Contractor obligations. Contractors participating in the Marketplace are subject to both these Terms of Service and the BidCycle Contractor Network Agreement. In the event of a conflict between these Terms of Service and the Contractor Network Agreement with respect to Marketplace-related matters, the Contractor Network Agreement governs.

Disputes. Any dispute regarding services performed by a contractor must be resolved directly between the homeowner and the contractor. BidCycle is not responsible for mediating or resolving disputes between homeowners and contractors and is not liable for the outcome of any such dispute.
